1. Acceptance
These Terms of Service ("Terms") govern access to and use of the Vijilan Partner Portal at portal.vijilan.io (the "Portal"), operated by Vijilan Security, LLC ("Vijilan"). By creating an account or using the Portal you agree to these Terms. If you use the Portal on behalf of an organization, you represent that you are authorized to bind that organization.
If your organization has executed a Master Services Agreement, Channel Partner Agreement, or other written agreement with Vijilan, that agreement controls over these Terms in the event of a conflict with respect to the services it covers. These Terms govern Portal access for all users, including users whose organizations have not yet executed such agreements.
2. Accounts and Security
You must provide accurate registration information and keep it current.
You are responsible for safeguarding credentials, enabling multi-factor authentication where available, and all activity under your account.
Notify Vijilan immediately of any unauthorized use of your account.
Roles and permissions within your organization are managed by your organization's account owner or administrators.
3. Portal Services
The Portal provides, among other features: solution configuration and ordering, subscription and billing visibility, client and inventory management, assessment scheduling, training (Academy), sales and marketing enablement assets, campaign hosting and lead capture, and legal document execution. Features may change, and Vijilan does not guarantee uninterrupted availability.
4. Acceptable Use
No unauthorized access, probing, or interference with the Portal or other accounts; no circumvention of role-based access controls.
No use of the Portal to transmit malicious code or unlawful content.
Enablement and marketing assets are provided for use consistent with your partner relationship and applicable co-branding rules; assets marked internal must not be distributed to end clients.
Campaign and lead-capture features may only be used to collect information from individuals in compliance with applicable law (including anti-spam and privacy laws); you are the controller of prospect data you collect.
5. Intellectual Property
The Portal, Academy content, enablement materials, and all related software, text, graphics, logos, and trademarks are the property of Vijilan or its licensors. Subject to these Terms, Vijilan grants you a limited, non-exclusive, non-transferable license to access and use them for the purpose of evaluating, marketing, selling, and supporting Vijilan services. Co-branded outputs remain subject to this license. Product names including ThreatRespond, ThreatDefend, NextDefend, ThreatAssess, ThreatSensor, ThreatLog, and Vijilan Guard are trademarks of Vijilan.
6. Confidentiality
Partner-confidential information available in the Portal, including pricing, rate cards, battlecards, and program terms, is Confidential Information under your agreement with Vijilan and must not be published or shared with end clients or third parties.
7. Electronic Signatures
Documents may be presented for electronic signature through the Portal and its e-signature provider. You consent to transact electronically and agree that electronic signatures have the same effect as handwritten signatures to the extent permitted by law.
8. Termination
Vijilan may suspend or terminate Portal access for breach of these Terms, suspected unauthorized use, or as provided in your agreement with Vijilan. You may stop using the Portal at any time; obligations that by their nature survive (confidentiality, IP, disclaimers) survive termination.
9. Disclaimers and Limitation of Liability
THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VIJILAN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WITH RESPECT TO THE PORTAL ITSELF. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIJILAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE PORTAL. SERVICE-LEVEL COMMITMENTS FOR SECURITY SERVICES ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE MSA AND SOF, NOT THESE TERMS.
10. Governing Law; Changes; Contact
These Terms are governed by the laws of the State of Florida, with exclusive venue in the state and federal courts located in Broward County, Florida. Vijilan may update these Terms; material changes will be notified in the Portal and may require re-acceptance. Continued use after the effective date constitutes acceptance.
